Nothing in these Terms has the effect of restricting any right granted to a Consumer by the Consumer Protection Act (Quebec) or by any other applicable public order legislation. In the event of a conflict between a provision of these Terms and a public order provision protecting the Consumer, the latter prevails.
3. Eligibility and Legal Capacity
The user declares that they are at least eighteen (18) years of age.
The user warrants that they have the legal capacity required to use the Services and to submit the documents that are the subject of an order.
4. Services Offered

Apostille coordination services
Related services connected with official translation
Translyss reserves the right to modify, suspend, or withdraw all or part of its Services at any time, subject to orders already accepted and paid for.
5. Order, Formation of the Contract, and Immediate Performance
An order is deemed accepted when:
the Client has submitted the required documents;
the Client has provided the information necessary to process the request;
full payment has been received and confirmed by Translyss.
No work begins before full payment is received, unless otherwise agreed in writing.
Where the Client is a Consumer and the contract is entered into remotely (over the Internet), the Client acknowledges and expressly consents to the performance of the Service beginning before the expiry of the cancellation period provided for in section 13 of these Terms, it being understood that this express consent is requested at the time of the order, in accordance with the applicable requirements of the Consumer Protection Act.
Translyss reserves the right to refuse an order in accordance with these Terms.
6. Documents Provided by the Client
The Client represents and warrants:
that they are the lawful owner of the documents submitted or that they hold all rights necessary for their transmission;
that the documents are authentic, accurate, and complete;
that their transmission to Translyss violates no third-party right and no applicable law.
The Client remains solely responsible for the content, accuracy, and authenticity of the documents submitted.
7. Refusal of Service
Translyss reserves the right, at its sole discretion, to refuse any order or to suspend any engagement, notably where:
the documents appear falsified, fraudulent, or misleading;
the documents are incomplete or illegible;
the information provided is insufficient;
the request is liable to contravene a law, a regulation, or a professional obligation;
performing the engagement presents a legal, regulatory, or reputational risk for Translyss.
8. Pricing and Payment
The prices displayed on the Site or communicated to the Client, including applicable taxes, constitute the rates applicable at the time of the order.
Unless otherwise indicated, all payments must be made before processing of the file begins.
The user is responsible for submitting the exact number of pages to be translated corresponding to the number of pages contained in the documents submitted. Failing this, Translyss reserves every right to apply pricing adjustments to the amount paid by the user.
Payments are made by bank card or by any other means accepted by Translyss.
Applicable taxes are added where required by law.
9. Processing and Delivery Times
The timeframes displayed on the Site are provided for information purposes and constitute the expected date or period of performance of the Service.
Timeframes begin to run upon receipt of:
the complete document;
the necessary instructions;
full payment.
Timeframes may be extended, notably due to:
complex or voluminous documents;
incomplete information;
circumstances beyond Translyss's control;
governmental or administrative delays.
Requests requiring an apostille are generally processed within a total of four (4) business days, including the translation and the administrative steps related to the apostille. This timeframe remains indicative and may vary according to the requirements or processing times of the competent authorities.
10. Certified Translations, Affidavits, and Apostilles
Translyss provides translations that comply with applicable professional standards.
However, Translyss does not guarantee the acceptance of a translation, an affidavit, or an apostille by any particular administration, organization, court, university, or other authority.
The Client remains responsible for verifying the specific requirements of the recipient organization before submitting their documents.
11. Corrections and Revisions
The Client has seven (7) days following delivery to report any translation error attributable to Translyss.
Corrections arising from a translation error are made free of charge.
Modification requests resulting from:
a change in content;
omitted information;
new instructions;
a modification of the original document;
may be billed as a new service.
After the seven (7) day period, the Services are deemed accepted by the Client, subject to the public order rights held by a Consumer that cannot be set aside by a contractual clause.
12. Refund Policy
The Client may obtain a full refund if work has not yet begun.
No refund will be granted after delivery of the documents, subject to the valid exercise of the right of cancellation provided for in section 13 of the CPA or any other public order right applicable to the Consumer.
13. Right of Cancellation (Consumers)
In accordance with the Consumer Protection Act, a Client acting as a Consumer under a contract entered into remotely has, in principle, a period within which to cancel the contract without penalty.
This right does not apply, or ceases to apply, however, where the Consumer has expressly consented to the performance of the Service beginning immediately (section 5) and the Service has been fully performed before any cancellation request.
To exercise this right before performance of the Service begins, the Client must contact Translyss using the contact details set out in section 25.
14. Subcontracting and Partners
In order to provide the Services, Translyss may call upon translators, reviewers, notaries, commissioners for oaths, apostille service providers, or other qualified partners.
These partners are subject to confidentiality and personal information protection obligations consistent with applicable requirements.
The Client expressly acknowledges and accepts this subcontracting.
15. Confidentiality
Translyss undertakes to treat the documents and information submitted by the Client as confidential.
The information disclosed is used only to the extent necessary to perform the Services and to comply with applicable legal obligations.
16. Protection of Personal Information
Translyss applies reasonable security measures to protect the personal information entrusted to it.
Subject to applicable legal obligations, documents submitted in connection with an order are destroyed within a maximum of ninety (90) days following completion of the engagement.
Translyss may, however, retain certain administrative, accounting, or tax information where required by law.
The complete terms relating to the collection, use, and retention of personal information are described in Translyss's Privacy Policy.
17. Intellectual Property
The Client retains all rights in the documents they submit.
The Client grants Translyss the rights necessary to consult, reproduce, process, and transmit these documents to the extent required to perform the Services.
The content, text, logos, trademarks, visuals, and elements of the Site remain the exclusive property of Translyss or of their respective owners.
18. Limitation of Liability
To the fullest extent permitted by law, Translyss's total liability in connection with an order is limited to the amount paid by the Client for that order.
Translyss may not be held liable for indirect, incidental, special, punitive, or consequential damages, including notably:
loss of revenue;
loss of opportunity;
loss of data;
administrative delays;
the refusal of a document by an authority.
This clause is not intended to exclude or limit any liability that cannot be excluded or limited under the Consumer Protection Act or any other public order legislation applicable to the Consumer; in such a case, this clause applies to the maximum extent permitted by law.
19. Force Majeure
Translyss may not be held liable for any delay in or inability to perform its obligations resulting from an event beyond its reasonable control, including notably:
natural disaster;
computer failure;
cyberattack;
interruption of banking services;

administrative communications.
21. Amendments to the Terms
Translyss reserves the right to amend these Terms at any time to reflect changes in its business, its legal obligations, or its operational practices.
The version in effect is the one published on the Site on the date the Services are used. Any substantial amendment applicable to an order already accepted will be communicated to the Client concerned.
22. Governing Law and Dispute Resolution
These Terms are governed by and interpreted in accordance with the laws of the province of Quebec and the federal laws of Canada applicable in that province.
Subject to a Consumer's right to bring an action before the court of their domicile in accordance with section 11.1 of the Consumer Protection Act, any dispute relating to these Terms or to the Services falls within the jurisdiction of the courts of the judicial district of Montreal, Quebec.
23. Languages
These Terms were drafted in French.
In the event of any discrepancy or inconsistency between the two versions, the French version prevails.
24. General Provisions
These Terms constitute the entire agreement between the Client and Translyss with respect to the use of the Site and the Services.
Translyss's failure to exercise a right or remedy does not constitute a waiver of that right or remedy.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in full force and effect.
